What they do
Axcelis makes ion implanters, the tools that fire charged dopant atoms (boron, phosphorus, aluminum) into silicon or silicon-carbide wafers to set a transistor's electrical properties. Every chip needs dozens of implant steps. Axcelis is the #2 implant vendor worldwide behind Applied Materials. The Purion platform covers high-current, medium-current and high-energy tools, plus a dedicated Purion Power line for SiC.
Two revenue streams.New systems ($132M, ~62% of Q2'26 revenue) are lumpy capital sales at ~$3–8M per tool. CS&I ($83M, ~38%) covers spares, upgrades, service contracts and used tools sold into a large installed base. CS&I is steadier and higher-margin, and it hit a record in Q4'25.
Customers and end markets. Mature-node applications made up ~84% of Q2'26 system shipments: power devices (SiC and silicon IGBT/MOSFET for EVs, chargers and industrial), general mature logic/foundry, and image sensors. The rest was memory (DRAM/NAND, now the strongest market) and advanced logic. By geography: China 46%, Korea 26%, Europe 11%, US 6%.
Key sensitivities. (1) The SiC capex cycle drove revenue from $0.66B (2021) to $1.13B (2023) before it rolled over. (2) China's mature-node build-out brings export-control risk and growing domestic competition (Kingstone, CETC). (3) Memory WFE. (4) Gross margin falls as mix shifts from SiC tools to memory and China. (5) The pending all-stock merger with Veeco (laser anneal, MOCVD, ion-beam, advanced-packaging litho). China's SAMR is the last approval outstanding.
The Take — The price is the blue-sky case for a cyclical at mid-cycle. Wait for the next downturn, or for the deal to close cheaper.
The cycle has already shown its range. Revenue went $343M (2019) → $1.13B (2023) on the SiC/EV implant boom, then fell back to $839M in 2025 as SiC fabs (Wolfspeed, onsemi, STMicro, Chinese entrants) cut capex. Clean operating margin (GAAP plus FY25's $19M of merger and restructuring costs, SBC expensed) ran 7.1% → 23.5% → 16.5%. The 8-year average is 17.0%; revenue-weighted, it's 18.8%, which is skewed toward the boom years. Today's run-rate is well below that. Q2'26 clean margin was ~11.7%, with gross margin down to 42.7% from 45.2% because memory and China mature-node tools carry lower margins than SiC.
The near-term setup is decent, not exceptional. Q2 revenue was $215M (+11% Y/Y) and the Q3 guide is ~$230M. Management raised FY26 to mid-single-digit growth (≈$884M) and expects 2027 growth on memory demand. Backlog is $452M with book-to-bill ~1.0. SiC bookings improved, but SiC revenue fell again. The base case gives ACLS a solid upturn: +10% / +8% / +6% to $1.11B in 2029E (back to the 2023 peak), with clean margin rebuilt to the 17% cycle average (~19% R&D-adjusted). That is worth $71.14. The bull case (2029E ~$1.25B, 20% clean margin, roughly 2022–24 economics) is worth $89. Only the blue-sky case (2029E ≈$1.40B, 23.5% margin, the 2023 peak margin capitalized forever) reaches today's price, at $114.
Reverse DCF: on the base revenue path, $114 needs a ~30% clean EBIT margin forever, which is 7 points above the best year in company history. At the 17% normalized margin, it needs revenue 2.0× the base path (~$2.3B by 2029E). Neither is plausible for a #2 vendor in a market where China, its largest customer region, is building domestic implant capacity.
The Veeco merger hasn't closed and doesn't fix the math. Status at 10/15/26: both shareholder votes passed (Feb 6). US HSR and EU/UK FDI are cleared. China SAMR is still open. SAMR accepted the case under its simplified procedure in January, but ION/Dealreporter reported in March that it was slow-walking the review while it collected comments from Chinese industry. The 9/30/26 outside date auto-extends while antitrust is the only open condition. ACLS still reports 30.9M shares and VECO still trades, so this valuation covers the current standalone entity. At close, ~22.6M new ACLS shares go to Veeco holders (0.3575×), so ACLS holders would own about 58%. Pro forma, my estimated Veeco value plus $35M of capitalized cost synergies gives ~$68 per combined share versus $71 standalone. On these numbers the deal moves per-share value sideways to slightly down, because ACLS pays in its own richly priced stock for a lower-margin business. VECO trades at $44.43, about 9% above its $40.78 exchange value. That spread suggests the market sees real SAMR risk or values Veeco above the deal terms.
Call: AVOID new money above ~$85. Accumulate <$72 (base). Aggressive starter ≤$75 (prob-weighted $74). Holders: trim into strength, especially above $120–130. A SAMR clearance headline is the most likely upside spike to sell into. A 52-week range of $73.60–$193.78 says this stock round-trips the cycle, and the base value sits at the bottom of that range. Q3'26 report is Nov 3 before the open (tentative). Express the view defined-risk: covered calls at $130–135 for holders, or a post-print bear call spread above ~$135–140. Do not short it naked. A SAMR approval or a memory/SiC order surprise can gap a ~$3.5B semicap stock 15–20%, and the deal close changes the float. To own it lower, sell cash-secured puts at the $75–80 strikes after the print.
Risk Profile — HIGH
HIGH
Semicap cycle / SiC capex. Long: a power-device and SiC capex recovery (EV, data-center power, grid). Short: further SiC digestion. Revenue fell 26% from 2023 to 2025, and normalized margin is ±3pt worth ±$10/share.
HIGH
China concentration and export controls. 46% of revenue. Long: China mature-node fab build-outs. Short: new US export rules on implant tools and domestic substitution (Kingstone, CETC). China's buying is a policy-driven cycle that can stop abruptly.
HIGH
Merger / SAMR. The deal issues ~22.6M shares (+73% share count) for a lower-margin business whose market value is ~2.4× my estimate of its intrinsic value. A SAMR block or remedy removes the synergy story. A close brings integration execution risk and new disclosure. Long or short depends on the approval outcome.
MED
Gross-margin mix. Memory and China tools carry lower margins than SiC. GM went 45.2% → 42.7% Y/Y. Short: memory-heavy growth that adds revenue but not margin.
MED
Rates / multiple. Long-duration semicap multiples. WACC ±100bp moves base value $64–$80. The stock has already fallen 41% from its June high of $193.78.
LOW
Balance sheet. $577M of cash and investments, no funded debt (only $70M of leases). Net cash is ~$16/share. No solvency risk.
The "inventory" here is $338M of implant tools and spares built for a SiC and China mature-node demand curve that has already peaked once. The real bet is how long the power/SiC and China capex cycle runs, plus an option on a SAMR-dependent merger. The tornado's widest bars are through-cycle margin and the discount rate, followed by the revenue level. This is a cyclical-recovery trade priced as a secular compounder.
Scenario values per share vs price (standalone ACLS)
Green = above price $114.08; yellow = within ±5%; orange = up to 30% below; red = more than 30% below. Rows scale the 2027–29 revenue ramp (1.0× = $1.11B in 2029E, about the 2023 peak of $1.13B). Margin columns are clean EBIT (SBC expensed), before the ~+1–2pt R&D-capitalization add-back. Reference points: 2019 trough 7.1%, 8-yr average 17.0%, 2023 peak 23.5%. Only the far corner (revenue ≥1.3× the path with margin ≥23–26%) reaches today's price.

*FY18–24 one-offs were not separately reported as material. Clean EBIT equals GAAP EBIT for those years, with FY24's $3.0M bad-debt charge left in. FY25 one-offs are $16.3M of Veeco transaction/integration costs and $2.7M of restructuring (from the Q4'25 release). There are no acquired-intangible amortization add-backs; ACLS has essentially no acquired intangibles. H1'26 GAAP EBIT of $28.2M includes ~$11.6M of transaction costs (estimated from the non-GAAP bridges). The base case uses the simple 8-yr average (17.0%), which covers a full trough-to-peak-to-downturn cycle. The revenue-weighted 18.8% leans on the 2022–24 boom and would capitalize near-peak economics.

Why standalone is the base: the deal has not closed, ACLS's reported share count (30.9M) and balance sheet are still standalone, and SAMR may block or condition the deal. The pro-forma lens uses estimates. VECO XBRL was not available from the data tool, so its inputs come from the VECO Q2'26 release and FY26 guide ($780–810M revenue). VECO is valued without R&D capitalization; to compensate, its margin target is set ~1pt higher. A close does not rescue the verdict: pro-forma value is ~$68 versus a $114 price.
